Share Transfer Portal — Terms of Use
Effective Date: July 1st, 2026
PLEASE READ THESE TERMS OF USE (“Terms”) CAREFULLY BEFORE USING THE PORTAL. These Terms govern your access to and use of the Artilux share transfer portal (the “Portal”) operated by Artilux Corporation, a company incorporated in the Cayman Islands and its affiliates (collectively, “Artilux,” “we,” “us,” or “our”). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree, please do not use the Portal.
The Portal is controlled and operated, in whole or in part, by Artilux from its office within the Republic of China (Taiwan). We make no representation that the Portal is appropriate or available for use in other locations, and those who access it from elsewhere do so at their own risk and are responsible for compliance with applicable local laws.
1. The Service
The Portal allows authorized users to submit and manage share transfer cases. Through the Portal, you may:
- submit the details of a proposed share transfer;
- verify your participation in a transfer by email;
- download the instrument of transfer and upload the signed version; and
- complete other actions required to process the transfer.
Once a case is approved and all required actions are completed, we submit it to our Cayman Islands registered agent, who completes the registration of the transfer offline. Final registration is handled outside the Portal and typically takes 2–4 weeks.
2. Acceptance of Terms
By using the Portal, you acknowledge that you have read and agree to be bound by these Terms and to comply with all applicable laws and regulations, including applicable export and re-export control laws regarding the transmission of technical data from the country in which you reside. You represent that you have the legal authority to accept these Terms on behalf of yourself or any party you represent or by whom you are employed. We reserve the right, in our sole discretion, to refuse or terminate access to the Portal at any time.
3. Eligibility and Authority
By using the Portal, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms; that you are a party to the relevant share transfer or are duly authorized to act on behalf of a party; and that all information you provide is true, accurate, current, and complete. You are responsible for ensuring you have the authority and any necessary approvals to carry out the transfer you submit.
4. Your Account
To use the Portal, you may need to register for an account. You are responsible for providing accurate registration and profile information and keeping it up to date, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly at privacy.contact@artiluxtech.com if you suspect any unauthorized use of your account.
5. Accuracy of Information
Share transfers depend on accurate information from all parties. You agree to provide complete and correct details, including the identities of the parties, the shares being transferred, and any supporting documents. You acknowledge that providing false, misleading, or incomplete information may delay or invalidate a transfer and may have legal consequences.
6. Verification and Review
Submitting a case initiates a verification and review process. Both the buyer and seller must confirm the transfer by email, and the case is then reviewed by our administrators. We may request additional information or documentation, and we reserve the right to approve, decline, or return any case for correction at our discretion, including where information is incomplete or where legal or regulatory requirements are not met.
7. Fees
Certain transfers may be subject to a transfer fee, which will be communicated to you before you are required to complete the relevant step. You agree to pay any applicable fees in order to proceed with your transfer. Unless stated otherwise, fees are non-refundable once the registration process has commenced.
8. The Instrument of Transfer
The Portal allows you to download a transfer form (instrument of transfer) for completion and signature. You are responsible for ensuring the form is correctly completed and validly signed by all required parties before uploading it. We are not responsible for errors, omissions, or defects in documents you complete and submit.
9. Our Role and No Guarantee of Outcome
We provide the Portal as a tool to facilitate the submission and processing of share transfers. We do not provide legal, financial, tax, or investment advice, and nothing in the Portal should be relied upon as such; you should seek your own professional advice where appropriate. We do not guarantee that any particular transfer will be approved, completed, or registered, as this depends on the accuracy of submitted information, completion of required actions, and compliance with applicable legal and regulatory requirements.
10. Acceptable Use and Restrictions
You are granted a limited permission to access and use the Portal solely for the purpose of submitting and managing your share transfers. This permission terminates automatically if you breach these Terms. You agree not to:
- use the Portal for any unlawful, fraudulent, or unauthorized purpose;
- submit information you are not authorized to provide, or that infringes the rights of others;
- post or transmit any unlawful, threatening, defamatory, obscene, or otherwise objectionable material;
- attempt to gain unauthorized access to the Portal, other accounts, or our systems; or
- introduce malware or otherwise interfere with the operation or security of the Portal.
11. Intellectual Property
Artilux reserves all of its intellectual property rights. The Portal and all related content, software, designs, logos, and trademarks are owned by or licensed to us and are protected by applicable intellectual property laws. Access to the Portal does not grant you any license or proprietary rights under any of Artilux’s or any third party’s intellectual property rights, other than the limited right to use the Portal for its intended purpose.
12. Privacy
Your use of the Portal is also governed by our Privacy Policy, which explains how we collect, use, and protect your Personal Data. By using the Portal, you acknowledge that you have read and understood the Privacy Policy. Note that information you submit through the Portal to effect a share transfer is provided for that purpose and is treated in accordance with the Privacy Policy.
13. Links to Third-Party Sites
The Portal may provide links to third-party websites or resources. We make no representations about, and are not responsible for, any such third-party sites. It is your responsibility to take precautions to ensure that anything you select for your use is free of items of a destructive nature. Such links do not constitute or imply our endorsement of, or affiliation with, the third party or its products and services.
14. Disclaimer
THE PORTAL AND ITS CONTENT ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARTILUX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARTILUX WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE PORTAL, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. IN NO EVENT WILL ARTILUX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PORTAL EXCEED THE AMOUNT YOU PAID TO US IN CONNECTION WITH THE RELEVANT TRANSFER. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
16. Indemnity
You agree to indemnify and hold Artilux harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Portal, or your submission of inaccurate or unauthorized information.
17. Suspension and Termination
We may suspend or terminate your access to the Portal at any time, with or without notice, if you breach these Terms, if required by law, or to protect the security and integrity of the Portal. You may stop using the Portal at any time. Provisions that by their nature should survive termination (including those on intellectual property, disclaimers, limitation of liability, and indemnity) will continue to apply.
18. Updates
This Policy may be amended or updated from time to time to reflect changes in our policies, or changes in applicable law. By using the Website, you agree to be bound by any such updates or revisions and you agree to periodically visit this page to determine the then current Policy to which you are bound.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of Republic of China (Taiwan), without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Portal shall be subject to the exclusive jurisdiction of the Hsinchu District Court.
